Trade only — Direct sales and online auction terms

This document outlines the terms and conditions for both direct B2B sales and online trade auctions conducted by Uber Leisure. It is divided into three parts: Part A (General Terms applicable to all transactions), Part B (Direct Sales Terms), and Part C (Online Auction Terms).

Part A: General Terms

Applicable to all transactions

1. Business-to-Business Transaction

By placing an order, making a bid, or otherwise engaging in a transaction with Uber Leisure, the purchaser confirms, warrants, and represents that they are acting in relation to the buying and selling of motorhomes, caravans, campervans, or any other leisure vehicles solely for the purposes of their trade, business, or profession. The purchaser acknowledges that they are not dealing as a consumer for the purposes of the Consumer Rights Act 2015, and that the said Act does not apply to any transaction with Uber Leisure.

2. Exclusion of Implied Terms

To the fullest extent permitted by law, all vehicles are sold as seen. All implied terms, conditions, and warranties (whether statutory or otherwise), including but not limited to those relating to satisfactory quality, fitness for a particular purpose, and correspondence with description, are hereby excluded from any transaction between the purchaser and Uber Leisure.

3. Appliances and Fixtures

All appliances and fixtures on any vehicle sold by Uber Leisure are sold untested and without warranty as to their condition or functionality. It is the purchaser's sole responsibility to inspect, test, and ensure that all appliances and fixtures are safe and fit for use before resale to any end consumer.

4. Limitation of Liability

To the fullest extent permitted by law, Uber Leisure shall not be liable for any injury, illness, damage, loss (whether direct, indirect, or consequential), accident, expense, cost, or any other claim whatsoever arising from any fault, defect, or malfunction of any appliance or fixture of any vehicle sold to the purchaser. Nothing in these terms shall exclude or limit liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

5. Third-Party Services

Uber Leisure accepts no liability or responsibility for the acts, omissions, workmanship, or services of any third-party companies or individuals, whether instructed by the purchaser or recommended by Uber Leisure, to carry out any servicing, repairs, modifications, or other work on any vehicle.

6. Descriptions and Inspection

All descriptions, photographs, and information provided, whether for direct sale or auction, are for identification purposes only. Uber Leisure shall not be held responsible for any errors or omissions in such descriptions. It is the purchaser's sole responsibility to inspect the vehicle thoroughly prior to placing a bid, paying a deposit, or completing the purchase. Upon request, Uber Leisure can provide a damp tester, full gas bottle, and/or hook-up lead for the purpose of testing appliances or features.

7. Retention of Title

Title to and ownership of any vehicle shall remain with Uber Leisure until the full purchase price (including any applicable taxes) has been received and cleared funds are confirmed. Risk in the vehicle shall pass to the purchaser upon collection.

8. Force Majeure

Uber Leisure shall not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, flood, fire, strikes, or supply chain disruption.

9. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. General

These terms and conditions constitute the entire agreement between the parties. If any provision is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Uber Leisure reserves the right to amend these terms and conditions at any time.

Part B: Direct Sales Terms

11. Deposits (Direct Sales)

For direct sales, a non-refundable deposit is required to secure a vehicle. Deposits are valid for a period of 14 days from the date of payment. Extended terms may be available at the sole discretion of Uber Leisure, subject to a larger deposit and prior written authorisation. The deposit is non-refundable unless the transaction is cancelled by Uber Leisure, in which case the deposit shall be refunded in full.

12. Payment (Direct Sales)

For direct sales, the full balance is payable by bank transfer only. Debit cards may be used for deposit payments only. Due to associated bank charges, Uber Leisure does not accept cash deposits or credit card payments.

13. Collection (Direct Sales)

Unless otherwise agreed in writing, vehicles must be collected within 14 days of cleared payment of the full balance.

Part C: Online Auction Terms

14. Auction Registration

All bidders must register and be approved by Uber Leisure to participate in any online auction. Uber Leisure reserves the right to refuse or revoke registration at its sole discretion.

15. Bidding Process

Each bid is a legally binding and irrevocable offer to purchase the vehicle at the bid price. The highest bidder at the close of the auction shall be the purchaser. Uber Leisure and/or its auction platform provider are not responsible for any missed bids due to internet connectivity or technical issues.

16. Payment (Auctions)

Upon conclusion of the auction, the winning bidder must pay a non-refundable deposit of £1,000 within 24 hours. The remaining balance, including any applicable VAT, must be paid in full via bank transfer within 48 hours of the auction ending. Failure to complete payment within the specified timeframe will result in the forfeiture of the deposit and the vehicle may be re-offered for sale.

17. Collection and Storage (Auctions)

Vehicles must be collected within 5 days of the auction ending, provided the full balance has been paid in cleared funds. Should the vehicle not be collected within 5 days, a storage charge of £300 per day shall apply from day 6 onwards, payable by the purchaser prior to collection. Uber Leisure reserves the right to re-offer the vehicle for sale if it remains uncollected for an unreasonable period, and any costs incurred shall be deducted from any sums held.
